Dewen has more than 15 years of legal experience in structured finance, asset securitization and secured lending. As a Managing Director and the General Counsel of Citadel SPV, Dewen manages the company’s Corporate Governance service line, as well as oversees transaction management, internal legal and compliance, and operational matters for the company.

His experience includes working with asset classes such as CLOs; commercial and residential mortgage, aircraft, auto, student loan, trade receivables and whole business securitizations; asset-backed commercial paper conduits; and resecuritizations. Previously, Dewen was an associate at the law firms of Seward & Kissel LLP and Thacher Proffitt & Wood LLP, where he represented issuers, underwriters and managers in connection with securitizations across various asset classes; buyers and sellers in secondary market transactions of distressed assets, including bank debt, bankruptcy trade claims and distressed securities; and investment funds and managers in connection with a variety of financing transactions. Prior to joining Citadel SPV, Dewen was internal counsel for the US operations of two multinational corporate services providers.

Dewen holds an A.B. from Brown University and a J.D. from Boston College Law School.

He has previously volunteered with GMHC, and led a team that participated in and fundraised for AIDS Walk New York. An avid traveler, Dewen is hoping to reach his first million miles flown by 2025.
